Regulatory & Government Advisory

BOM offers deep, market-recognized expertise in Saudi capital markets. Our dedicated team of capital markets lawyers has advised on some of the Kingdom’s most high-profile equity and debt transactions—delivering strategic legal counsel across all stages of public offerings and private placements.

BOM’s capital markets practice advises on IPOs, rights issues, private placements, debt-to-equity conversions, and all related regulatory filings and disclosures. We work with issuers, underwriters, and investors across the full spectrum of equity and debt capital markets activity in Saudi Arabia and the broader Gulf region.

Saudi Arabia’s capital markets are regulated by the Capital Market Authority (CMA) under the Capital Market Law (Royal Decree M/30 of 1424H), with the Saudi Exchange (Tadawul) and its subsidiaries — Muqassa (clearing) and Edaa (depository) — forming the market infrastructure. Our team has deep familiarity with the Listing Rules, Offer of Securities Regulations, and Investment Funds Regulations that govern issuance activity, and we advise clients on navigating CMA approval processes with precision and efficiency.

On the equity side, we provide full-cycle legal support for Main Market and Nomu (Parallel Market) listings — from pre-IPO structuring and prospectus drafting through CMA submission, underwriting arrangements, and post-listing compliance. On the debt side, we advise on sukuk issuance, conventional bond programs, and Reg S / Reg S/144A structures for Saudi and Gulf issuers targeting domestic and international institutional investors. Our sukuk experience spans Ijara, Murabaha, and Musharaka structures, with coordination of Sharia supervisory board opinions and Edaa settlement arrangements.

We also advise on the formation and licensing of investment funds with the CMA, including public and private funds, real estate investment trusts (REITs), and closed-end funds. Our regulatory compliance advisory covers continuous disclosure obligations, material event reporting, insider trading restrictions, board independence requirements, and the governance obligations of listed companies under the CMA Corporate Governance Regulations.
